Agisoft Cloud Processing Service User Agreement

IMPORTANT! PLEASE READ THE TERMS AND CONDITIONS OF THIS USER AGREEMENT CAREFULLY BEFORE CONTINUING WITH REGISTRATION OF YOUR USER ACCOUNT.

Agisoft Cloud Processing Service User Agreement (“User Agreement”) is a legal agreement between you (either an individual or a legal entity) and AgiSoft LLC, a Russian company,(referred to as Agisoft). This User Agreement specifies the terms and conditions under which Agisoft allows you to use its cloud processing service (the “Service”), including any applications, content files, software and associated documentation.

By registering at account.agisoft.com, you are confirming your complete and unconditional acceptance of the terms and conditions set forth in this User Agreement and agreeing to become bound by this User Agreement. If you do not agree to the terms and conditions of this User Agreement, you must not use the Agisoft Cloud Processing Services.

Agisoft reserves the right to amend this Agreement at any time. In case of amendment, you will be notified about it on logging into your account after the date of amendment. If you continue to use the Service after such notification of change it will constitute acceptance of the amendment.

1. Cloud Processing Service

1.1. Scope of Service

Cloud Processing Service (“Service”) enables you to have your data processed with Agisoft Metashape software installed on Amazon Web Services, providing that you have previously lawfully acquired an Agisoft Metashape Professional license, which has not been terminated by the present moment. To get access to the service, you shall register at account.agisoft.com. First, a Metashape project shall be created in your activated copy of Agisoft Metashape Professional software deployed locally and only after that the project can be uploaded for cloud processing directly from Metashape GUI. On finishing the processing initial project will be updated with cloud processing results.

1.2. Grant of Right

Subject to your compliance with this Agreement, Agisoft grants you a non-exclusive, non-transferable, non-assignable right to use the Service; the right is granted without permission tosublicense.

1.3. Limitations on the Usage

(a) No Reverse Engineering.

You may not decompile, disassemble, reverse engineer, or otherwise attempt to gain access to its methods of operation or to derive the source code of the Service.

(b) No Harmful Actions.

You may not attempt to disable, impair, overburden or destroy the Service.

(c) No Transfer.

You may not redistribute, encumber, sell, rent, lease, sublicense, assign or otherwise transfer your rights in the Service, nor transfer your account data to any third party.

(d) No Hosting or Third Party Use.

You may not make the Service available to third parties via the Internet on your computer system or otherwise, including, without limitation, use in connection with a web hosting or similar service.

2. Subscription Plans

The Service is provided under a subscription model. A subscription plan defines the storage space you have at your disposal in Agisoft Cloud and processing hours pricing.

Commercial Plan

For commercial use of the Service you shall subscribe to a commercial plan. To subscribe to a commercial plan, you shall purchase one of the storage subscriptions available from your account page. To perform processing, you shall purchase a processing hours package first. The prices for storage subscriptions and processing hour packages are specified in ‘Agisoft Cloud: Plans & billing’ article at Agisoft’s website. Agisoft has the right to review prices at any time at its sole discretion.

Free Plan

With Free Plan Agisoft grants you the right to use the Service for educational and trial purposes only. Storage subscription on the Free Plan equals 50 Gb and processing hours package includes 20hours. In case of excessive demand for the Service, Agisoft reserves the right to revise storage space and machine hours available for Free Plan users.

3. Payment Terms

Payment processing functionality of the Service is supported by Bright Market, LLC, dba FastSpring,and their partners. You can choose any of the payment options available. Information on currently available payment options as well as on payment details management can be found in ‘Agisoft Cloud: Plans & billing’ article at Agisoft’s website.

Both storage subscription and processing hours package shall be paid in advance. Paid services are not subject to refund unless the services were requested and not provided due to the system lockdown or similar situation.

Subscription plan is subject to renewal each month or year depending on the subscription terms. Please carefully read information in the Subscription payment overdue section of the ‘Agisoft Cloud: Plans & billing’ article at Agisoft’s website before accepting this User Agreement.

Processing time is charged by minute, with time period used for data transfer (upload & download) and publication time being excluded from overall cloud processing operations time. Processing hours packages can be purchased and used whenever it is needed without usage period limitations. 4. Privacy Policy

The collection and use of any personal information by Agisoft is governed by Agisoft Privacy Policy. By registering at accounts.agisoft.com, you agree to its terms.

5. Intellectual Property

5.1. Title and Ownership

All title, including but not limited to copyright, in and to the Service are owned by Agisoft LLC. This User Agreement grants you no title or ownership rights in the Service.

5.2. Maintenance of Proprietary Notices

You may not alter, remove, or obscure any copyright, trade secret, patent, trademark, logo,proprietary and/or other legal notices in reports, documents, templates, screen shots, output files, etc. generated through use of the Service.

5.3. Your Contents

(a) Any output file, i.e. any file generated by you as a result of you using the Service, shall belong to you exclusively.

(b) By uploading your content of any kind to the Service, you grant Agisoft the right to transfer the data to Amazon Web Service and process it in accordance with Amazon Web Service standard terms and conditions.

(c) By uploading content to the Service, you grant Agisoft a non-exclusive, worldwide,perpetual, royalty-free, sub-licensable and transferable license to use, reproduce and modify your contents to improve the Service and other products by Agisoft.

(d) It is recommended that you maintain backups of your contents directly or indirectly processed with the Service. In no case will Agisoft be liable for the failure to store, the loss or the corruption of your contents.

(e) In no case shall Agisoft be liable for any damage caused to you as a result of you sharing your data with a third party using any functionality within the Service interface. Nor shall Agisoft be liable for any damage caused to you as a result of someone sharing their data with a you using any part of the Service functionality.

(f) By uploading your content to the Service you confirm and guarantee that:

- you have all the rights to use the content in such a way;

- that the content has no limitations on usage according to the laws of the Russian Federation or laws of any other country, and, therefore

- the usage of the content by Agisoft within the limits described in this User Agreement shall not contravene material nor personal rights of the third parties; nor shall such usage cause the violation of the intellectual rights of the third parties; nor shall the usage constitute an offense according to the laws of the Russian Federation or legislation of any other country;

(g) You bear all the liability in case the usage of the content does not comply with and/or violate the laws of the Russian Federation or laws of any other country, including but not limited to the liability to the third parties whose material, personal, intellectual or other rights has been violated or can be violated by the usage of the content in accordance with this User Agreement.

5.4. FEEDBACK

It is not obligatory for you to provide Agisoft with any comments, suggestions or other feedback (“Feedback”) about the Service. However, if the Feedback is provided by you, Agisoft gets the right to use the Feedback to improve the Service. In order to support this right of Agisoft, with this User Agreement you grant to Agisoft a non-exclusive, worldwide, irrevocable, perpetual, royalty-free license to, directly or indirectly, use, reproduce, license, sublicense, distribute, make, have made, sell and otherwise commercialize the Feedback in the Service or other Agisoft’s products and technologies. You further agree NOT to provide any Feedback that (a) You know is subject to any Intellectual Property Rights of any third party or (b) is subject to license terms which seek to require any products incorporating or derived from such Feedback, or other Agisoft’s intellectual property, to be licensed to or otherwise shared with any third party.

6. Disclaimer of Warranty and Limitation of Liability

6.1. THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED,INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, NONINFRINGMENT, OR OF FITNESS FOR A PARTICULAR PURPOSE. AGISOFT DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT OPERATION WILL BE UNINTERRUPTED OR ERROR FREE. AGISOFT MAKES NO WARRANTIES RESPECTING ANY HARM THAT MAY BE CAUSED BY THE TRANSMISSION OF A COMPUTER VIRUS, WORM, TIME BOMB,LOGIC BOMB, OR OTHER SUCH COMPUTER PROGRAM. AGISOFT FURTHER EXPRESSLY DISCLAIMS ANY WARRANTY OR REPRESENTATION TO AUTHORIZED USERS OR TO ANY THIRD PARTY.

6.2. Agisoft shall not be liable for special, indirect, incidental, consequential (including, but not limited to, lost profit or the loss of data or information of any kind, however caused, or failure of any licensed software to work or perform in any way) or other damages based in contract,tort or otherwise with respect to any claim on account of or arising from this User Agreement or use of or inability to use the Service, even if Agisoft has been or is hereafter advised of the possibility of such damages. In no event total liability hereunder shall exceed the amount paid by you for the right to use the Service. Licensor does not indemnify you in any way against anything.

6.3. If you are dissatisfied with the Service or any of Agisoft’s terms and conditions, your sole and exclusive remedy is to discontinue using the Service. In addition, you release Agisoft from any damages that you incur, and agree not to assert any claims against it, arising from your use of the Service.

7. TERMINATION

7.1. You may stop using the Services at any time.

7.2. Agisoft has the right to terminate this User Agreement immediately, without written notification to you, in case: a) you fail to comply with the terms and conditions of this User Agreement; b) Agisoft ceases to provide the Service, in whole or in part; or c) in case the period of inactivity on your account reaches the 12 month breakpoint.

7.3. The termination of this User Agreement will not limit any of Agisoft’s rights or remedies under this User Agreement or at law.

7.4. Agisoft’s warranty disclaimers, Agisoft’s limitation of liability shall survive after the termination of the Agreement, as well as your indemnification obligations and any licenses you have granted.

8. Governing Law

8.1. This User Agreement will be governed by the laws of the Russian Federation.

8.2. Any dispute, controversy or claim arising out of or in relation with this User Agreement including the validity, invalidity, breach or termination thereof, shall be settled in Arbitration Court of Saint Petersburg and Leningrad Region in accordance with the laws of the Russian Federation.

9. Miscellaneous

9.1. This User Agreement and any documents mentioned herein constitute the entire agreement between you and Agisoft concerning the Service and supersedes any and all prior or contemporaneous oral or written representations and communications with respect to the Service.

9.2. Neither party is entitled to transfer rights and obligations under this User Agreement to third persons without a written consent thereto of the other party.
